Dispute Resolution & Arbitration

A structured, step-by-step framework governing the amicable settlement and binding arbitration of B2B commercial disputes.

Phase 1

Amicable Settlement & Mandatory Mediation

In the event of any dispute, controversy, or claim arising out of or relating to these Terms & Conditions, the breach, termination, or invalidity thereof, or any B2B commercial transaction between the Company and the buyer, both parties agree to act in good faith to resolve the matter amicably. A mandatory pre-litigation mediation period of thirty (30) days shall commence immediately upon written notice of the dispute by either party.

Phase 2

Binding Arbitration & Proceedings

If the dispute remains unresolved following the expiration of the mandatory mediation period, it shall be referred to and finally resolved by binding arbitration. All arbitration proceedings shall be governed strictly by the provisions of the Arbitration & Conciliation Act, 1996 (and any statutory modifications or re-enactments thereof).

Language & Conduct

All arbitration proceedings, including all submitted documentation, evidence, correspondence, and the rendering of the final arbitral award, shall be conducted exclusively in the English language.

Phase 3

Arbitral Tribunal & Seat of Arbitration

The arbitration shall be conducted by a sole, independent arbitrator appointed by mutual written agreement of both parties. Should the parties fail to reach an agreement on the arbitrator within fifteen (15) days, the appointment shall be made by the competent court. The official seat, venue, and legal jurisdiction of the arbitration shall exclusively be Guwahati, Assam, India.

Legal Exceptions

Interim Relief & Legal Costs

Nothing in this section shall prevent the Company from seeking immediate injunctive or equitable relief from a competent court in Guwahati, Assam, to protect its intellectual property, prevent unauthorized product diversion, or address severe breaches of these terms.

Each party shall bear its own legal costs and expenses incurred during the dispute resolution process, unless the arbitrator directs otherwise in the final binding award.
