Section 1.1

Introduction

This B2B portal is owned and operated by SPIRITS AND MALTS INDIA PRIVATE LIMITED (the "Company"). By accessing this platform or placing an order, the buyer expressly agrees to be bound by these Terms & Conditions.

Section 1.2

B2B Exclusivity

The Company supplies premium tobacco products strictly on a Business-to-Business (B2B) basis. Direct-to-consumer (D2C) sales are strictly prohibited.

Section 1.3

Regulatory Compliance & Age

Both the Company and the buyer are obligated to strictly adhere to the Cigarettes and Other Tobacco Products Act, 2003 (COTPA), the Legal Metrology Act, the GST Act, and all applicable state laws. The sale of tobacco products to individuals under 18 years of age is strictly prohibited by law.

Section 1.4

Pricing, Taxes & Payment

All listed prices are exclusive of GST. IGST will be applied to all inter-state supplies. Buyers are required to provide an accurate GSTIN prior to checkout. All orders are processed exclusively upon receipt of advance payment; Cash on Delivery (COD) is not supported.

Section 1.5

Risk Transfer & Liability

Risk of loss or damage transfers to the buyer the moment the consignment is handed over to our authorized logistics partner. The Company’s maximum financial liability for any claim is strictly capped at the total invoice value of the disputed order.

Section 1.6

Indemnification

The buyer agrees to indemnify and hold the Company harmless against any regulatory actions, financial penalties, or legal claims arising from the buyer’s non-compliance with local, state, or federal laws, including unauthorized resale or diversion.

Section 1.7

Governing Law & Dispute Resolution

These terms are governed by the laws of India. Any disputes shall first be subject to mandatory pre-litigation mediation. If unresolved, disputes will be settled via binding arbitration under the Arbitration & Conciliation Act, 1996, with a single arbitrator. The seat of arbitration and exclusive legal jurisdiction shall be Guwahati, Assam.
